MasterBrand and American Woodmark Shareholders Approve Merger

USA –    MasterBrand, Inc. and American Woodmark Corporation announced that shareholders from both companies have approved their proposed merger during special meetings held earlier today.

The final voting results will be detailed in filings with the U.S. Securities and Exchange Commission (SEC).

The transaction is now pending regulatory clearance under the Hart-Scott-Rodino Antitrust Improvements Act and other customary closing conditions.

“Shareholder approval marks a key milestone that demonstrates strong confidence in this transformative combination,” said Dave Banyard, President and CEO of MasterBrand. “We look forward to completing the merger and building a stronger, more innovative company.”

Scott Culbreth, President and CEO of American Woodmark, added, “This approval paves the way for uniting two organizations with complementary strengths and customer-focused cultures.”

MasterBrand is North America’s largest manufacturer of residential cabinets, employing over 13,000 people across more than 20 facilities. American Woodmark, with over 7,800 employees, is among the nation’s leading cabinet producers, offering a wide range of brands and designs.
