Brazilian Duratex to buy 25% of Colombian Tablemac

COLOMBIA (Notifix).- Duratex announced it has signed an agreement to acquire a significant stake in Tablemac SA, Colombian manufacturer of processed wood panels. Through this agreement Tablemac convened a shareholders meeting to approve the capital increase of the company by issuing new shares, with waiver of preferential subscription rights for existing shareholders in benefit of Duratex. Thus Duratex would subscribe a 25% stake in Tablemac?s capital at a price of COP 12 per share if approved at the shareholders' meeting. In a second step, Duratex, could exercise its option, and within two years, and subscribe up to 15% additional shares at a price COP 12.00 per share, at a rate of 6.25% year. Also under the Agreement, Duratex will start at 10 days of the first subscription, a takeover bid (OPA) to acquire 10% to 12% of the shares of Tablemac, at a price of COP 12.00 per share.
