GERMANY – The Management Board of Homag Group AG has confirmed that the Higher Regional Court of Stuttgart has issued a final ruling regarding the legal dispute over the cash settlement and guaranteed dividend for shareholders. The court has set the cash settlement at EUR 31.58 per share and the guaranteed dividend at EUR 1.19 gross per share.

In 2014, Dürr Technologies GmbH, part of the Dürr Group, acquired a majority stake in Homag Group AG and, in 2015, signed a domination and profit and loss transfer agreement. Under this agreement, Dürr committed to paying shareholders EUR 31.56 per share plus a guaranteed dividend of EUR 1.18 gross per share. In 2019, following shareholder valuation proceedings, the Regional Court of Stuttgart slightly raised these amounts to EUR 31.58 and EUR 1.19 gross, respectively.

The appeal against this ruling was rejected by the Higher Regional Court, confirming the previous decision. The ruling was published in the Federal Gazette on January 3, 2025, triggering a two-month period during which Homag shareholders can tender their shares to Dürr at the set cash settlement price.

As of the publication date, Dürr holds 67.7% of Homag shares, with the Schuler and Klessmann families holding 14.1%. Dürr has around 82% of the voting rights at Homag ‘s annual general meeting, according to a pooling agreement with the Schuler/Klessmann group. The domination agreement ensures that Dürr receives Homag’s net profit, while non-controlling shareholders are paid the guaranteed dividend.
